The parties identified above are the Supplier and the Client. The "Client" is the legal entity identified by the fiscal company name, VAT/business number and registered address entered in the Client details above, being the entity that executes this Agreement. Where any individual executes or accepts on behalf of the Client, they warrant that they are duly authorised to bind that entity.
The Supplier and the Client agree to the following Terms and Conditions, which shall apply to all current and future Quotes (the "Quotes") and services provided by the Supplier to the Client, unless updated Terms and Conditions are issued by the Supplier and accepted by the Client.
Each Quote may be accepted in writing by email, and such acceptance shall be deemed binding under these Terms and Conditions without the need for a separate signature or agreement. Acceptance given by any person using an email address of the Client shall be deemed given with the Client's authority.
These Terms and Conditions bind the Client only. They do not extend to, and no Quote is issued under them to, any other entity within the Client Group, each of which requires its own agreement with the Supplier.
These Terms and Conditions apply exclusively to the engagement of speaker talent, including masters of ceremonies, presenters, hosts, moderators and panellists (together, the "Speakers"), and to Quotes issued by the Supplier for such engagements. They do not apply to the supply of event staff, brand ambassadors, hostesses, promotional or crewed personnel, or any other staffing services, which are supplied under the Supplier's separate terms and conditions for those services. Where a Quote covers both speaker and non-speaker services, these Terms and Conditions apply to the speaker element and the Supplier's staffing terms apply to the remainder.
Definitions
In these Terms and Conditions, the following terms have the following meanings:
"Booking Brief" means the agreed scope document for an engagement, setting out the services to be performed by the Speaker, as agreed in writing between the parties.
"Booking Request" means the request submitted by the Client to the Supplier setting out its requirements for an engagement, including the role, dates, times, location, services required and any usage rights required.
"Client" means the legal entity identified by the fiscal company name, VAT/business number and registered address set out in the Client details in the signature block of this Agreement, being the entity that executes this Agreement.
"Client Group" means any entity which controls, is controlled by, or is under common control with the Client, and any agency or partner acting on behalf of any of them, in each case other than the Client itself.
"Confirmed Booking" has the meaning given in clause 2.3.
"Contracting Team" means the Client together with the individual personnel, department, business unit or office of the Client that requested and administers the booking, being those persons through whom the booking was arranged, briefed and approved.
"Speaker" means the individual or individuals engaged through the Supplier to provide speaker services under this Agreement, including as master of ceremonies, presenter, host, moderator or panellist.
"Talent Release" has the meaning given in clause 2.9.1.
"in writing" includes email and, where the parties have used it to conduct the booking, messaging application.
1. Conditions Applicable
1.1. No variation to these conditions (including any special terms and conditions agreed between the parties) shall be binding unless agreed in writing between the Supplier and the Client.
1.2. Any statements or claims made by the Supplier regarding the Speaker or the services (these could include the skills, qualifications, experience, or capabilities of the Speaker, as well as the quality and scope of the services to be rendered) shall not be incorporated into this agreement unless confirmed in writing by the Supplier. In entering into the contract, the Client acknowledges that it does not rely on and waives any claim for breach of any such representations which are not so confirmed.
1.3. Any quotation given by the Supplier may be withdrawn at any time prior to acceptance by the Client and in any event shall lapse after 14 days. A Quote does not reserve or hold the Speaker's availability, which is confirmed only upon the booking becoming a Confirmed Booking under clause 2.3.
1.4. Any alteration to the contract specification required by the Client must be notified to the Supplier promptly in which case the Supplier may accept such alteration (subject to any increase in the Fees to reflect the alteration) at its sole discretion.
1.5. Once accepted by the Client, these Terms and Conditions shall remain in full force and effect for all current and future Quotes and services provided by the Supplier, unless updated Terms and Conditions are communicated to the Client for renewed acceptance.
2. Acknowledgements and Obligations
2.1. The Client acknowledges and agrees that the Supplier is authorised by the Speaker to negotiate and conclude the contract on behalf of the Speaker in respect of the services. The services under this Agreement comprise speaker services, including engagement as a master of ceremonies, presenter, host, moderator or panellist.
2.1.1. The Supplier remains responsible for the Speaker performing the services in accordance with the Booking Brief and with the professionalism, reliability and care referred to in clause 2.10, and for their conduct during the engagement being lawful and professionally appropriate. Where the Speaker cancels at short notice or fails to perform in accordance with the Booking Brief, the Supplier's obligations are those set out in clause 2.10.
2.1.2. The Client selects the Speaker from the profiles provided under clause 2.3, at the Client's own discretion. The Supplier shall not be liable for any dissatisfaction with the identity, style, delivery or subjective suitability of the Speaker so selected, where that individual has performed in accordance with clause 2.1.1.
2.1.3. Consistent with clauses 2.4.1, 2.4.12, 2.4.15 and 2.4.17, the Client is responsible for the direction, briefing and supervision of the Speaker, including pre-production, the script and all content or messaging to be delivered, the run of show, and all instructions given to the Speaker before and during the engagement. The Supplier shall not be liable for any loss or issue arising from the Client's own briefing, content, instructions or on-site management, or from any failure by the Client to provide the Speaker with adequate information, materials, access or working conditions.
2.1.4. Any concern as to the performance of the Speaker must be raised in accordance with clause 2.4.7. Save as set out in clause 2.1.1 and clause 2.10, the Supplier shall not be liable for any default of the Speaker under this contract.
2.2. The Supplier agrees that they will source the Speaker on behalf of the Client. The Speaker will carry out services as detailed on the Quote and Booking Brief, including the scheduled times of the services requested. Any variations in the Client's requirements must be notified immediately to the Supplier by email and may be subject to additional cost.
2.2.1. Where agreed in writing between the parties, the services may include preparatory or pre-production work such as briefing or preparation calls, interviews, script or content review and preparation, rehearsals, soundchecks and individual preparation by the Speaker. Such work forms part of the services, is chargeable, and remains chargeable whether or not the event subsequently takes place.
2.3. The Supplier will provide the Client with a shortlist of Speaker profiles meeting the requirements set out in the Booking Request, allowing the Client to select its preferred Speaker for the engagement.
2.3.1. The booking becomes a Confirmed Booking when the Client selects a Speaker from the shortlist and the Supplier confirms in writing that the Speaker is engaged for the dates and services requested.
2.3.2. Once the Supplier has furnished a shortlist of profiles meeting all the specified Client requirements, the Supplier will consider its sourcing obligation discharged in respect of that shortlist, regardless of whether the Client chooses to select or decline the profiles presented.
2.3.3. In the event that the Client declines all profiles on a shortlist which meet the specified requirements, the Supplier retains the right to impose an additional recruitment fee to initiate a renewed sourcing process presenting further Speaker profiles for consideration.
2.4. The Client shall:
2.4.1. Provide the Supplier and the Speaker with such information as may be necessary in connection with the provision of the services, including the event brief and objectives, audience profile, running order, script and content, names and pronunciations of persons to be introduced, and any content approval process the Client requires.
2.4.2. Ensure that the location at which the services are to be performed complies with all relevant health and safety requirements. Any required risk assessments must be carried out by the Client.
2.4.3. Make available such facilities as may be reasonably required by the Speaker and the Supplier, including a private preparation or green room area, access to the stage, autocue and AV equipment for rehearsal or soundcheck where reasonably required, and briefing time with the production team.
2.4.4. Direct all requests for information and contact the Speaker only through the Supplier unless otherwise agreed by the Supplier, including requesting the Speaker to work for them directly.
2.4.5. Make available to the Speaker water/refreshments as may be reasonably required.
2.4.6. Schedule the Speaker's on-stage commitments so as to allow reasonable rest and preparation time between sessions, and provide a meal break on engagements exceeding a half day. Some engagements may require additional breaks for the welfare, voice and health and safety of the Speaker.
2.4.7. Notify the Supplier immediately, during the engagement, if not satisfied that duties are being carried out in accordance with the Booking Brief. The Client must give the Supplier the opportunity to resolve any issues during the period of the event. Should the Client notify the Supplier of any issues only after the conclusion of the event, the Supplier shall not be liable to address said issues or offer any concessions, discounts, or remedies. This clause prevails over clause 5.1.3 in respect of any complaint concerning performance during the engagement.
2.4.8. Be responsible for the recovery at the end of each working day of any wardrobe, autocue unit, props, branded items or other Client property issued to the Speaker. The Supplier cannot be held liable should the Speaker take Client property home.
2.4.9. Be responsible for ensuring that the production dependencies required for the Speaker to carry out their duties are available for the start of the services, including the final script and running order, autocue, microphone, cue sheets and AV provision. If these are not made available, and this prevents the Speaker from carrying out their duties as detailed in the Booking Brief, full payment is still required. The Supplier accepts no responsibility for failure of courier companies or postal services not delivering items to the correct location or on time.
2.4.10. Be responsible for obtaining all permissions required for the Speaker to carry out the services on behalf of the Client, including venue permissions, recording and broadcast permissions, and clearance of any third-party content, music, imagery or materials the Speaker is asked to present or perform.
2.4.11. Agree to provide all necessary access for the services to be provided such as entrance or parking passes and where not previously agreed will cover the associated cost of parking and entrance tickets in order for the Speaker to provide the services.
2.4.12. The Client must detail in full all the services to be carried out by the Speaker on the Booking Request. Any change to services must be notified to the Supplier in writing for approval. Any usage rights required in respect of the Speaker must be specified in the Booking Request in accordance with clause 2.9.5.
2.4.13. The Client is required to promptly communicate any necessity for the Speaker to extend or reduce their service duration while the event is taking place through a direct phone call, text message, or email to the Supplier. This change will need the acceptance of both the Supplier and the Speaker to become effective. An additional fee will apply for the extended services. In the case of a reduced service duration, the cost will remain invariable unless specifically agreed in writing by the Supplier and the Speaker.
2.4.14. The Client must not ask the Speaker to carry out any duties not detailed in the Booking Request, including press or media interviews, additional sessions or panels, social or promotional content, meet-and-greets or hosting duties beyond those agreed. Any additional duties must be agreed upon in writing by the Supplier and the Speaker.
2.4.15. The Client is responsible for the Speaker's safety and welfare at all times. The Client, from the arrival time of the Speaker until the end of their booking, must be in control of the Speaker and is therefore their supervisor and has complete responsibility for their duty of care.
2.4.16. For a Speaker working alone and/or where the Client is not on site, the Client understands that it remains fully responsible for the Speaker's welfare and remains in a supervisory role.
2.5. The Client shall at all times comply fully with its obligations under the EU General Data Protection Regulation.
2.6. The Client shall not without the consent in writing of a duly authorised representative of the Supplier expose, reveal or make public any information in connection with the business of the Supplier or these terms and conditions. All of which information is to be regarded by the Client as of a strictly confidential nature.
2.7. Unless required to do so in order to conform to legal requirements or comply with legal process, the Client shall not (and shall procure that its employees shall not) at any time disclose any of the Speaker's personal data to any person or legal entity for any purpose outside the course of the performance of the Speaker's obligations under these conditions.
2.8. The Client agrees that for a period of 24 months from the last date of performance of the services, the Contracting Team shall not directly re-engage the Speaker outside of the Supplier. The Contracting Team shall also not knowingly facilitate the re-engagement of the Speaker outside of the Supplier during this period. Any re-engagement by a different team, division, business unit, office or affiliate of the Client, or by an agency or partner acting independently of the Contracting Team, shall not constitute a breach of this clause, provided that the Contracting Team has not directly arranged, re-engaged or knowingly facilitated such engagement. Where the Contracting Team directly re-engages or knowingly facilitates the re-engagement of the Speaker outside of the Supplier during the 24-month period, the Client will be in breach of contract and the financial remedy below will apply depending on which value is the greater:
2.8.1. The Supplier will invoice the Client (plus VAT if applicable) the same value for the number of engagements the Speaker was previously engaged through the Supplier, for the Client or any member of the Client Group, in a 2-year period immediately prior to the breach or;
2.8.2. The Supplier will invoice the Client a fixed amount of €2,000.00 (plus VAT if applicable).
2.8.3. Payment of any invoice raised under clauses 2.8.1 or 2.8.2 will be due immediately on that invoice being raised; no payment terms will be offered in connection with such a breach.
2.8.4. Where the Speaker is approached or re-engaged by a member of the Client Group which is not the Contracting Team, or by an agency or partner acting independently of the Contracting Team, the Client shall not be held in breach of clause 2.8 and no remedy under clauses 2.8.1, 2.8.2 or 2.8.3 shall apply, unless the Contracting Team has directly arranged, re-engaged or knowingly facilitated such engagement.
2.9. The Client shall not obtain any rights of any kind, or rights to use any materials provided by the Supplier, the Speaker or others in connection with the performance of the services, unless expressly agreed in writing.
2.9.1. Where the booking requires the capture or use of the name, image, likeness, voice, appearance or recorded performance of the Speaker, such rights shall be granted only by means of a separate written release executed directly by the Speaker in favour of the Client, its affiliates, its agencies and the end brand client identified in the booking (the "Talent Release"). The Talent Release shall be annexed to, and forms part of, the booking documentation for that engagement.
2.9.2. The parties acknowledge that the rights of image, honour and privacy of the Speaker are personal rights under Spanish Organic Law 1/1982 which may be granted only by the individual concerned, by express and specific consent. The Supplier does not hold and cannot grant such rights on behalf of the Speaker, and no provision of this Agreement shall be construed as a grant of those rights by the Supplier.
2.9.3. Rights in the recorded performance of the Speaker as a performer, within the meaning of Royal Legislative Decree 1/1996 approving the consolidated text of the Spanish Intellectual Property Act, shall likewise be assigned or licensed only by the Speaker under the Talent Release.
2.9.4. The Supplier shall procure the execution of the Talent Release prior to confirmation of any booking stated to be inclusive of usage rights, and shall notify the Client before confirmation if the Speaker declines to grant the rights sought, offering an alternative Speaker where available.
2.9.5. Where the Booking Request specifies the usage rights required, the Supplier shall obtain the terms on which the Speaker is willing to grant those rights, including any fee attributable to them, and shall reflect the same in the Quote. The Speaker determines whether to grant such rights and on what financial terms; the Supplier does not warrant that any particular usage rights are available, or available at no additional cost.
2.9.6. Where the Quote is stated to be inclusive of the usage rights identified in the Booking Request, the fees set out in that Quote are inclusive of the rights granted under the Talent Release for the permitted uses stated therein, and no further usage, licensing, residual or talent fee shall be payable by the Client in respect of those permitted uses. Any use falling outside the scope of the Talent Release, and any usage rights not identified in the Booking Request at the time of quotation, require separate written agreement with the Supplier and the Speaker and may be subject to an additional fee.
2.9.7. Where the Speaker exercises any statutory right to withdraw consent to the use of their image under Spanish Organic Law 1/1982, the Supplier shall notify the Client promptly upon becoming aware, and the parties shall act in good faith to agree a proportionate resolution. The Client's remedy in respect of such withdrawal shall lie against the Speaker under the Talent Release, and the Supplier shall not be liable for the withdrawal itself, provided the Supplier has complied with clause 2.9.4.
2.10. The Supplier shall at all times act in good faith and with the objective of delivering a high-quality, professional service to the Client. The Supplier's aim is to ensure that the services are carried out to a high standard and that the Speaker engaged performs their duties with professionalism, reliability, and care.
In the event that the Speaker cancels at short notice or does not perform their duties in accordance with the Booking Brief, the Supplier shall use its reasonable endeavours and commercially reasonable means to remedy the situation. This may include, where feasible, attempting to address performance or attitude issues directly with the Speaker by informing them of the Supplier's concerns and allowing them an opportunity to improve.
Where such corrective measures are unsuccessful, or where circumstances do not reasonably allow for them, the Supplier shall use reasonable endeavours to source a replacement Speaker, subject to availability and operational constraints. The Supplier does not guarantee that a replacement can always be provided, particularly in last-minute or force majeure circumstances.
2.10.1. Any proposed replacement Speaker is subject to the Client's approval, such approval not to be unreasonably withheld or delayed. Where the Client declines all proposed replacements, the booking shall be treated as cancelled by the Supplier and any sums paid in respect of unperformed services shall be refunded, save for costs irrecoverably incurred by the Supplier in accordance with clause 7.4.
3. Payment
3.1. The Client shall pay fees and VAT (if applicable); invoices will be sent and paid in euros (€).
3.2. Payment terms will be:
3.2.1. 50% deposit to be paid upon event confirmation, once the booking has become a Confirmed Booking (please see clause 2.3 for specifics on "Confirmed Booking" and clause 8 for "Special bookings");
3.2.2. 50% to be paid after the event within a 15-day period.
3.2.3. Any services that require advance expenditure (e.g. train/plane/hotels/wardrobe), and any deposit or advance payable by the Supplier to the Speaker to secure their availability for the booking, will be paid 100% upfront by the Client.
3.3. Methods of payments will be:
3.3.1. Bank transfer (must mention invoice number in the concept) or;
3.3.2. Credit card.
3.4. Any bank charges, commissions, and fees related to currency conversion or any other bank fees will be included as additional costs on the total invoice amount before the transfer of funds is initiated. In cases where there are insufficient funds received by the Supplier due to factors such as payments made from outside the European Union (EU), overseas transfers, or any other reasons, the remaining balance will be invoiced again or added to subsequent invoices.
3.5. Should the Client neglect to settle the invoice(s) or any outstanding balance within the specified terms outlined on the invoice, the Supplier retains the prerogative to levy interest at a rate of 8%. Additionally, any legal fees associated with the pursuit of payment will be sought from the Client.

5.1.1. Neither the Speaker nor the Supplier shall be under any liability in respect of any default arising from the Client's negligence or abnormal working conditions.
5.1.2. Neither the Speaker nor the Supplier shall be under any liability under any warranty or condition if the fees, expenses and VAT (if applicable) have not been paid by the due date.
5.1.3. Subject to clause 2.4.7, neither the Speaker nor the Supplier shall be under any liability under any warranty or condition for any alleged default of the Speaker or any complaint concerning the services where full details of such default or complaint have not been notified in writing to the Supplier within 24 hours of the Client becoming aware of it.
5.2. Save in respect of liability which cannot be excluded or limited under Spanish law, including liability for death or personal injury caused by negligence and for fraud or fraudulent misrepresentation, the total aggregate liability of the Supplier arising out of or in connection with a Confirmed Booking, whether in contract, tort or otherwise, shall not exceed the total fees paid by the Client to the Supplier under the Quote for that booking.
6. Cancellation
6.1. The Client shall not be entitled to cancel the contract without the prior written agreement of the Supplier.
6.1.1. If the Client cancels within seven working days of the event start date then the Client is required to pay the Supplier the total cost for hire of the Speaker's services in full as the invoice.
6.1.2. If the Client cancels between fifteen and seven working days' notice from the start of the services, then the Client will be required to pay the Supplier 50% of the total invoice.
6.1.3. If the booking is a Confirmed Booking and the Client cancels with more than fifteen working days' notice from the start of the services, then the Client will be required to pay the Supplier 15% of the total invoice (please see clause 2.3 for specifics on "Confirmed Booking" and clause 8 for "Special bookings").
6.1.4. If the booking has not become a Confirmed Booking and the Client cancels with more than fifteen working days' notice from the start of the services, then the Client shall not be subject to any charges (please see clause 2.3 for specifics on "Confirmed Booking" and clause 8 for "Special bookings").
6.1.5. If the Client cancels and the services require advance expenditure (e.g. train/plane/hotels/wardrobe), or a deposit or advance has been paid or committed by the Supplier to the Speaker to secure their availability, the Client agrees to reimburse these costs in full upon production of the associated invoice.
6.1.6. Any preparatory or pre-production services already performed under clause 2.2.1 as at the date of cancellation remain chargeable in full, in addition to any amount payable under clauses 6.1.1 to 6.1.5.
6.2. The Supplier may cancel the contract or request the Speaker to stop working if it considers that the Client is putting the Speaker's welfare at risk or is requesting the Speaker to carry out services not detailed in the Booking Brief.
6.3. The Supplier withholds the right to cancel or release a booked Speaker or put the event on hold if the invoices are not paid or delayed.
6.4. This clause 6 does not apply where a cancellation results directly from a force majeure event, in which case clause 7 applies and prevails.
7. Force Majeure
7.1. Neither party shall be liable for failure to perform, nor be deemed to be in default under this Agreement, for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of state or governmental authorities, acts of terrorism, natural catastrophe, fire, storm, flood, earthquake, riot, insurrection, civil disturbance, sabotage, embargo, blockade, acts of war, epidemic or pandemic, or lockdowns or other public health measures preventing the event from taking place.
7.2. The party affected shall notify the other in writing as soon as reasonably practicable upon becoming aware of the force majeure event, giving details of the event and its expected effect on performance, and shall use reasonable endeavours to mitigate its effects and to resume performance. Both parties shall act in good faith to reach an amicable resolution.
7.3. Where services are not performed as a direct result of a force majeure event, the Client shall not be liable for the fees attributable to those unperformed services, and no cost not yet incurred by the Supplier shall be charged to the Client. The Client shall remain liable only for the amounts set out in clause 7.4. This clause 7 prevails over clause 6 where a cancellation results directly from a force majeure event.
7.4. The Client shall remain liable for:
7.4.1. fees for any services already performed as at the date the force majeure event prevents further performance, including any preparatory or pre-production services agreed in writing under clause 2.2.1 and performed by the Speaker prior to that date, such as briefing or preparation calls, interviews, script or content preparation, rehearsals and individual preparation work;

7.4.4. a flat fee of €50.00 (plus VAT if applicable) in respect of recruitment and sourcing work already performed by the Supplier.
7.5. The Supplier shall waive its commission in full in respect of any unperformed services, save for the flat fee under clause 7.4.4. The Supplier shall use reasonable endeavours to mitigate and, where possible, recover, reallocate or obtain a refund of any amounts claimed under clauses 7.4.2 and 7.4.3, and shall provide the Client with reasonable evidence of the amounts claimed under clause 7.4 on request.
7.6. If a force majeure event continues for a period which prevents the services being performed on the scheduled date, either party may terminate the booking on written notice, without liability save for the amounts payable under clause 7.4.
8. Special bookings
8.1. Last-minute bookings: Any bookings requested and/or confirmed within 10 working days prior to the event start will be categorised as 'last-minute bookings.' Such bookings come with distinct terms to ensure efficient processing:
8.1.1. Advance Payment: A 100% payment is required upon booking confirmation, before the sourcing process begins.
8.1.2. Speaker Selection: The Supplier will present available Speakers on an expedited basis and the Client shall confirm its selection by return. Where the Client does not respond within the window stated by the Supplier, the Supplier may release any hold placed on a Speaker's availability without liability.
8.1.3. Rate Adjustment: To accommodate the expedited nature of last-minute bookings, the Supplier reserves the right to apply a maximum increase of 30% to their standard rates. This adjustment, if implemented, will be discussed and mutually agreed upon with the Client prior to finalising the booking.
8.2. Big and/or long-term projects: For projects over €25,000.00 and long-term engagements, a bespoke contract will be created to suit their unique scope and specific needs.

9.4. To not transfer in any case to third parties the personal data to which it has access, not even for the purpose of its conservation.
9.5. To not use the personal details of the Speaker without using the Supplier's services or without the Supplier's authorisation.
The duration of the confidentiality obligations established in this contract shall be indefinite and shall remain in force after the termination thereof, for any reason, of the relationship between the Supplier and the Client.

This Agreement shall be governed by Spanish law. In the event of a dispute, the parties agree that the place of jurisdiction is the courts of Barcelona, exclusively and therefore renouncing any other alternative or optional jurisdiction.
The Client acknowledges and accepts these Terms and Conditions, which shall govern all current and future Quotes and services provided by the Supplier. The Client undertakes to pay the amounts set out in the corresponding Quote(s) issued for each service.
